Acceptance of terms
These Terms of Service ("Terms") govern your use of kaibomarketing.com (the "Site") and the marketing, CRM and automation services provided by KAIBO Marketing ("KAIBO," "we" or "us") (the "Services"). By using the Site or purchasing Services, you agree to these Terms. If you accept on behalf of a business, you confirm you have authority to bind it.
Our services
KAIBO provides marketing, CRM configuration, sales automation, AI-assisted communication tools and related consulting for businesses. KAIBO does not install, inspect, monitor, maintain or certify security, fire alarm, life safety, networking or low-voltage systems, and does not provide legal, engineering or regulatory advice.
Eligibility
The Services are intended for businesses and individuals at least 18 years old located in the United States. You agree to provide accurate information and keep it current.
Plans, fees and billing
Plans are billed as a recurring monthly subscription plus a one-time setup (implementation) fee, as shown on the Site or in your order. Subscriptions renew automatically each month until canceled. You authorize us or our payment processor to charge your payment method for all fees and applicable taxes. Setup fees are non-refundable once implementation work has begun. Prices may change with at least 30 days' notice before your next billing cycle.
Third-party usage charges
Some features rely on third-party services such as AI, telephony, SMS, WhatsApp, email delivery and payment processing. Usage of these services may incur additional metered charges that are not included in your plan price unless expressly stated in writing, and are billed according to your implementation.
Cancellation
You may cancel your subscription with written notice to info@kaibomarketing.com before your next billing date; cancellation takes effect at the end of the current billing period. Fees already paid are not refundable except where required by law. On cancellation, access to configured tools may end, and you may request an export of your data within 30 days.
Your responsibilities and compliance
You are solely responsible for: (a) obtaining all consents required to contact your customers and prospects, including prior express written consent under the Telephone Consumer Protection Act (TCPA), and complying with CAN-SPAM, state telemarketing laws, carrier (A2P 10DLC) requirements and do-not-call rules; (b) the accuracy and legality of content you send through the Services; and (c) configuring and verifying any inspection, maintenance or regulatory reminder schedules (including NFPA-related schedules) according to applicable requirements. Reminder tools are a convenience only and do not ensure compliance.
Acceptable use
You may not use the Services to send spam or unlawful messages, harass anyone, infringe intellectual property, transmit malware, collect data without authorization, or violate any law or third-party platform policy. We may suspend Services that put our systems, providers or others at risk.
Intellectual property
The Site, our brand, templates, workflows and materials are owned by KAIBO or its licensors. You retain ownership of your data and content and grant us a limited license to use it solely to provide the Services. Feedback you provide may be used without obligation.
No guarantee of results
Marketing and sales outcomes depend on many factors outside our control. KAIBO does not guarantee any specific number of leads, revenue, conversion rates, rankings or regulatory outcomes.
Disclaimer of warranties
The Site and Services are provided "as is" and "as available." To the fullest extent permitted by law, KAIBO disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and does not warrant uninterrupted or error-free operation, including of third-party services.
Limitation of liability
To the fullest extent permitted by law, KAIBO will not be liable for any indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data. KAIBO's total liability for any claim relating to the Services will not exceed the amounts you paid to KAIBO in the three (3) months before the event giving rise to the claim.
Indemnification
You agree to defend, indemnify and hold harmless KAIBO and its owners, employees and contractors from claims, fines, damages and expenses (including reasonable attorneys' fees) arising from your content, your communications with your customers, your violation of these Terms, or your violation of any law, including the TCPA.
Governing law and disputes
These Terms are governed by the laws of the State in which KAIBO Marketing is organized and applicable U.S. federal law, without regard to conflict-of-law rules. Before filing any claim, both parties agree to attempt to resolve the dispute informally for 30 days. Any claim will be brought only on an individual basis, not as part of a class action.
Changes to these Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a new effective date. Continued use of the Site or Services after changes take effect constitutes acceptance.
